SynthPrism Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or "User") and Martello Systems LLC ("Martello Systems," "Company," "we," "us," or "our"), the operator of SynthPrism, available at synthprism.com and related subdomains, applications, and services (collectively, the "Service").
Please read these Terms carefully. Section 6 (Acceptable Use), Section 7 (AI-Generated Content & Likeness), Section 11 (Disclaimers of Warranties), Section 12 (Limitation of Liability), and Section 16 (Governing Law & Dispute Resolution, including a binding arbitration provision and class-action waiver) are especially important and affect your legal rights.
1. Agreement to Terms
By accessing or using the Service, creating an account, starting a subscription, or clicking to accept these Terms, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated here by reference. If you do not agree, you must not access or use the Service.
If you are using the Service on behalf of a company, brand, or other entity, you represent that you have authority to bind that entity to these Terms, and "you" refers to both you individually and that entity.
We may update these Terms from time to time as described in Section 15. Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
2. Description of Service
SynthPrism is a software-as-a-service platform that helps creators and brands generate, organize, and publish AI-assisted media. The Service may, among other things:
- Generate images, characters, audio, voice, and written content using third-party artificial-intelligence models and providers;
- Let you store, organize, and manage generated and uploaded media in galleries, projects, and brand workspaces;
- Schedule and publish content to connected third-party social platforms (such as Bluesky and others you authorize);
- Provide a content feed, collaboration, and related creative tools.
The output of generative AI is probabilistic and may be inaccurate, unexpected, or unsuitable for your purpose. You are responsible for reviewing all generated content before relying on it or publishing it. We do not guarantee any particular result, accuracy, originality, or fitness of generated content.
We may add, modify, suspend, or discontinue features at any time. The features available to you may depend on your subscription plan.
3. Eligibility & Accounts
You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You agree to provide accurate account information, to keep your credentials secure, and to be responsible for all activity under your account. You may sign in with email and password or with a supported third-party identity provider (such as Google). Notify us promptly of any unauthorized use.
4. Subscriptions, Billing & Usage Limits
Paid plans are billed in advance on a recurring basis through our payment processor (Stripe). By subscribing you authorize recurring charges until you cancel. Generative features may consume usage credits or be subject to spending caps and rate limits described in the Service or your plan. Fees are non-refundable except where required by law or expressly stated. We may change pricing prospectively with notice. You can cancel at any time; access continues through the end of the current billing period.
5. Your Content
"Your Content" means inputs, prompts, uploads, and other materials you submit, and the outputs you generate using the Service. As between you and us, you retain whatever rights you hold in Your Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display Your Content solely to operate, secure, and improve the Service and to provide it to you (including sending it to the AI and publishing providers you direct us to use).
You are solely responsible for Your Content and for ensuring you have all rights, consents, and licenses necessary to submit it and to publish the output, including rights in any names, likenesses, voices, logos, or copyrighted material referenced in your prompts or uploads.
6. Acceptable Use
You agree not to use the Service to create, store, or publish content that:
- Infringes intellectual-property, privacy, or publicity rights, or misappropriates another person's identity, voice, or likeness without authorization;
- Is unlawful, defamatory, harassing, hateful, or that sexualizes minors or depicts non-consensual sexual content;
- Is a deceptive deepfake, impersonation, or synthetic media intended to defraud, deceive about identity or endorsement, or interfere with elections;
- Contains malware, or is used to spam, scrape, or evade rate limits or platform rules of connected services;
- Violates the terms, usage policies, or content rules of any third-party AI provider or social platform you use through the Service.
We may remove content and suspend or terminate accounts that violate this Section.
7. AI-Generated Content & Likeness
Generative AI output may resemble existing works or real people and may not be eligible for copyright protection in all jurisdictions. You are responsible for clearing rights and for any disclosures required by law or platform policy when publishing synthetic media. You must not generate a real person's voice or likeness without their consent. We disclaim responsibility for how you use generated content.
8. Third-Party Services
The Service integrates third-party providers for AI generation, voice synthesis, payments, authentication, and social publishing. Your use of those integrations may be subject to the providers' own terms and privacy policies. We are not responsible for third-party services, their availability, or their handling of content you direct to them.
9. Intellectual Property in the Service
The Service, including its software, design, and trademarks, is owned by Martello Systems and its licensors and is protected by law. We grant you a limited, revocable, non-transferable license to use the Service per these Terms. You may not copy, reverse-engineer, resell, or create derivative works of the Service itself.
10. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access for violation of these Terms, risk to the Service or others, or as required by law. On termination, your right to use the Service ends; sections that by their nature should survive (including 5–7 and 11–16) will survive.
11. Disclaimers of Warranties
THE SERVICE AND ALL GENERATED CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR ORIGINALITY. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that generated content will meet your requirements.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARTELLO SYSTEMS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 3 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
13. Indemnification
You will indemnify and hold harmless Martello Systems and its affiliates from claims, damages, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your published output, or your violation of these Terms or applicable law.
14. Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms.
15. Changes to These Terms
We may revise these Terms from time to time. If we make material changes, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use after the changes take effect constitutes acceptance.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws rules. Any dispute not resolved informally will be resolved by binding individual arbitration, and you and we waive any right to a jury trial or to participate in a class action, except where prohibited by law. You may opt out of arbitration within 30 days of first accepting these Terms by contacting us.
